CASE STUDY

Finding a Buyer is Only the Beginning

Why a Specialist M&A Advisor Matters

Executive Summary

Many business owners believe the hardest part of selling a business is finding a buyer.

In reality, finding interested buyers is often the easy part. The real challenge is navigating negotiations, managing risk, comparing different deal structures and keeping a transaction on track all the way to completion.

This case study follows the sale of a South African industrial minerals distribution business whose owner had spent several years trying to sell independently. Despite receiving multiple offers and progressing through several sale processes, every transaction ultimately failed, until the owner engaged Deal Leaders International.

By implementing a structured market process, creating competitive tension and guiding the client through every stage of the negotiation, Deal Leaders International helped turn years of frustration into a successful exit.

When Buyer Interest isn't Enough

The business had built a respected position supplying industrial minerals into multiple manufacturing sectors, supported by long-standing customer relationships and an established international supply chain.

The owner had been trying to sell the business for several years.

During that time:

  • Multiple unsolicited approaches were received.

  • Several sale processes were initiated.

  • One transaction progressed to due diligence before collapsing.

The owner had become exhausted by the process and was no longer looking for just another buyer.

Strategic Insight

Multiple Offers Don't Guarantee a Successful Sale

Receiving buyer interest does not necessarily result in a completed transaction. Without experienced guidance, sellers can find themselves navigating complex negotiations, unfavourable deal structures and competing commercial interests on their own.

The role of a specialist M&A advisor extends far beyond introducing buyers. It is about protecting the seller's interests, managing execution risk and helping both parties reach an outcome that works.

The Business

Strong Business, Complex Transaction

The business had many qualities buyers found attractive:

  • Long-established market reputation

  • Diversified industrial customer base

  • Strong international supplier relationships

  • Consistent profitability

  • Attractive strategic position within a specialised market

However, buyers viewed the business very differently.

Some focused almost entirely on perceived supplier concentration risk.

Others recognised the strength of the customer relationships, market position and future growth potential.

The challenge was identifying the buyer who understood the business's intrinsic value rather than simply pricing in its perceived risks.

Our Strategy

Creating Competition While Protecting the Seller

Rather than immediately launching a broad market process, we first approached a competitor who had previously expressed interest at the seller's request. Faced with the prospect of competition, the buyer doubled its previous offer. On the surface, this appeared to be an outstanding outcome.

However, the proposed transaction structure carried unacceptable commercial risks for the seller, including requirements that could have exposed sensitive supplier relationships before the deal had been completed.

Price alone was no longer the deciding factor.

Looking Beyond the Headline Number

Rather than accepting the improved offer, we advised the client to test the broader market.

Deal Leaders International's structured Market Approach Strategy generated multiple offers from qualified buyers, allowing the seller to compare:

  • Valuation

  • Deal structure

  • Risk allocation

  • Ongoing involvement

  • Strategic fit

Instead of negotiating from a position of uncertainty, the client now had genuine choice.

Guiding Every Decision

No two offers were identical. Each contained different commercial terms, risks and expectations. Our role extended well beyond presenting offers.

We helped the client evaluate the practical implications of each offer, understand where buyers were placing value and identify which structure best aligned with their personal objectives.

The process ultimately identified a buyer who demonstrated flexibility, understood the business and worked collaboratively to achieve an outcome that protected both parties' interests.

The Outcome: The Right Buyer, Not Just the Highest Offer

The transaction delivered far more than a successful sale. It provided the confidence that the seller had made the right decision after years of unsuccessful attempts.

The selected buyer:

  • Understood the strategic value of the business.

  • Worked collaboratively to reduce transaction risk.

  • Accommodated the seller's desired transition.

  • Respected existing commercial relationships.

Why This Matters To You

Many business owners believe that once they've found an interested buyer, the difficult part is over.

In reality, successful transactions depend on much more than valuation. Deal structure, buyer behaviour, commercial risk, negotiation dynamics and strategic alignment often determine whether a deal succeeds or falls apart.

Deal Leaders International helps sellers navigate these complexities, maintain momentum through difficult negotiations and ultimately achieve an outcome that supports both their financial and personal objectives.
